Terms of Service

These Terms of Service ("Terms") govern your access to and use of TonXpress Marketplace, the portal for transport companies and individual drivers operated by Terpion PLC ("TonXpress", "we", "us"). By creating an account or otherwise using the service, you agree to be bound by these Terms.

TonXpress Marketplace lets registered transport companies and individual drivers (together, "carriers") browse open shipment jobs posted by shippers, submit bids, get matched to shipments, update shipment status, upload proof of delivery, and manage tasks, earnings, and messages. TonXpress is a marketplace — we are not a shipper or a party to the underlying contract of carriage, and we do not guarantee a minimum volume of available jobs.

You must provide accurate, current information when registering, including your legal identity (or your company's, for a transport company account), contact details, and — for drivers — a valid driving licence. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Transport company and individual driver accounts are subject to identity verification (KYC), including document checks. We may restrict access to bidding or accepting jobs until verification is complete, and we may suspend an account if information or documents provided are found to be false or misleading.

You are responsible for holding any licences, permits, insurance, and vehicle roadworthiness certification required by Ethiopian law to transport the goods you accept. You agree to honor bids you submit if accepted, to handle goods with reasonable care, to keep the shipper informed of material delays, and to deliver proof of delivery accurately.

You must not misrepresent your fleet, licences, or availability, or accept a job you do not have the capacity or legal authority to complete.

Fees, commission, and payout terms applicable to jobs completed through the platform are disclosed at the time of a transaction or in a separate commercial agreement. You authorize TonXpress to deduct applicable platform fees from amounts owed to you under a completed shipment.

You may not use the platform to circumvent TonXpress fees by arranging payment for a matched job outside the platform, misrepresent your identity, licences, or vehicles, upload false documents, or interfere with the normal operation of the service.

TonXpress and its licensors own all rights, title, and interest in the platform, including its software, design, and trademarks. These Terms do not grant you any rights to use the TonXpress name or branding except as necessary to use the service as intended.

The platform is provided "as is." TonXpress does not guarantee a minimum number or value of available jobs, that a bid will be accepted, or that the service will be uninterrupted or error-free. To the maximum extent permitted by law, TonXpress's aggregate liability arising from your use of the service is limited to the fees you paid to TonXpress in the three months preceding the claim.

You may stop using the service at any time. We may suspend or terminate your account if you violate these Terms, misuse the platform, or if required by law. Provisions of these Terms that by their nature should survive termination (including payment obligations and limitation of liability) will survive.

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia, without regard to conflict-of-law principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the competent courts of Ethiopia.

We may update these Terms from time to time. If we make material changes, we will provide notice through the platform or by other reasonable means before the changes take effect. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
